Balda AG: Stevanato Group takes over operating business

Bad Oeynhausen, 10 March 2016 – After Balda AG had accepted the bid by

Italian Stevanato Group on 4 February 2016 today the closing and transfer

of ownership was carried out. Consequently, all operating units of the

Balda Group and further assets have been transferred to the

Stevanato Group. The operating business will continue to operate under the

Balda name. Stevanato had handed in their binding offer in the amount of

EUR 95 million on 29 January 2016 at the extraordinary general meeting and

with it was able to win through the bidding war.

“Balda is considered an acclaimed plastics specialist, specifically in the

area of medical technology, and possesses state-of-the-art production

sites. We are very happy about our new Stevanato Group subsidiary and are

envisioning outstanding growth potential – primarily in cooperation with

our division Pharmaceutical Systems, operating under the brand Ompi”, says

Franco Stevanato, CEO of Stevanato Group.

The remaining holding will now change its name into Clere AG and will focus

entirely on the realignment of the company. No revocatory action regarding

the extraordinary general meeting has been received by the company. Thus

the change of name as well as the registration of the capital decrease is

expected to be carried out promptly.

operating units are now an integral part of the family-run Stevanato Group.

We are absolutely convinced that thereby Balda can most successfully be

developed further”, explains Oliver Oechsle, sole Management Board member

of Balda AG and adds: “Now we can completely focus our attention on the

remaining holding and dedicate ourselves to the elaboration of our new

business model under the name of Clere AG.”
